Agreement to Terms
By accessing or using the services provided by PayPerGrowth Digital Pvt. Ltd. ("PayPerGrowth"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.
Services Provided
PayPerGrowth provides the following services:
- Google Ads campaign management and optimization
- Bing Ads (Microsoft Advertising) management
- Digital marketing services including SEO, social media, and content marketing
- Website design, development, and maintenance
- Marketing consultation and strategy development
Client Obligations
As a client, you agree to:
- Provide accurate and complete business information required for service delivery
- Grant necessary access to advertising accounts, analytics, and other platforms
- Ensure that products/services being advertised comply with all applicable laws
- Make timely payments as per the agreed payment schedule
- Provide timely feedback and approvals on deliverables
- Not engage in any fraudulent or misleading advertising practices
Payment Terms
- Management fees are billed monthly in advance
- Payment is due within 7 days of invoice date
- Ad spend is billed directly by the advertising platform (Google, Microsoft, etc.)
- One-time project fees (web development) require 50% advance, 50% on completion
- Late payments may incur a charge of 1.5% per month on outstanding amounts
- All prices are in Indian Rupees (INR) and exclusive of GST (18%)
Service Level Agreement
PayPerGrowth commits to:
- Responding to client communications within 24 business hours
- Providing scheduled reports as agreed in the service plan
- Maintaining campaign optimizations as per the agreed frequency
- Keeping client data confidential and secure
- Providing 48 hours notice before any major campaign changes
Intellectual Property
- Ad copy, creatives, and strategies created for you are your property upon full payment
- PayPerGrowth retains rights to internal tools, processes, and methodologies
- Website designs and code become your property upon final payment
- PayPerGrowth may use anonymized results for case studies (with your consent)
Account Ownership
All advertising accounts (Google Ads, Bing Ads, etc.) created or managed on your behalf remain your property. Upon termination, we will transfer full access and ownership to you within 7 business days.
Limitation of Liability
- PayPerGrowth does not guarantee specific results, rankings, or revenue outcomes
- We are not liable for platform policy changes, algorithm updates, or account suspensions by third-party platforms
- Our total liability shall not exceed the fees paid by you in the preceding 3 months
- We are not responsible for losses due to client-side issues (website downtime, product quality, etc.)
Termination
- Either party may terminate with 30 days written notice
- Upon termination, we will provide final reports and transfer all account access
- Fees for services rendered up to the termination date remain payable
- PayPerGrowth may immediately terminate services in case of payment default exceeding 30 days
Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination for a period of 2 years.
Governing Law
These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.
Changes to Terms
We reserve the right to modify these terms at any time. Changes will be communicated via email and updated on this page. Continued use of our services constitutes acceptance of modified terms.
